Please read these Terms of Service ("Terms") carefully before using Round.so and our website builder platform, marketing site, and related services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
Acceptance of Terms
By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
Description of Services
Round.so provides a platform for creating and hosting one-page micro-sites ("Micro-sites") for local businesses, multi-location operators, and others who need simple customer-facing pages. Features include customizable content (e.g. business info, services, hours, contact forms), publishable links (e.g. round.so/s/your-slug), lead capture, and optional paid features such as branding removal and custom domains.
Account and Use
Registration
You must provide accurate and complete information when registering. You are responsible for keeping your account credentials secure and for all activity under your account.
Acceptable use and prohibited conduct
You must use the Services only for lawful purposes and in compliance with these Terms and all applicable laws. The Services are intended for legitimate business micro-sites (e.g. local services, contact and lead capture)—not for activity that is illegal, abusive, or harmful.
You agree not to:
Illegal activity
- Use the Services for any illegal purpose or in violation of any applicable local, national, or international law or regulation
Gambling
- Operate, advertise, promote, or facilitate illegal gambling, unlicensed betting or wagering, or real-money gaming where prohibited by law
- Use Micro-sites or our infrastructure to circumvent gambling licensing, age restrictions, or jurisdictional rules
Drugs, controlled substances, and regulated products
- Sell, solicit, distribute, or promote illegal drugs, counterfeit medicines, or controlled substances in violation of law
- Market prescription drugs, cannabis, or other age-restricted or regulated products except where clearly lawful in every jurisdiction you target and in a manner that complies with applicable licensing and advertising rules
Spam, phishing, and abusive messaging
- Send spam or unsolicited bulk commercial communications, or use contact forms, lead capture, or exports to spam or harass others
- Harvest, scrape, or collect contact information from our Services or third parties for unsolicited messaging
- Engage in phishing, spoofing, impersonation, or deceptive practices intended to steal credentials, payment data, or personal information
- Violate anti-spam or telecommunications laws (e.g. CAN-SPAM, CASL, GDPR/PECR marketing rules, or similar) where they apply to your use of the Services
Fraud, malware, and security abuse
- Distribute malware, ransomware, exploits, or other harmful code; conduct denial-of-service attacks; or probe or attack our or others' systems without authorization
- Use the Services for financial fraud, pyramid or Ponzi schemes, money laundering, terrorist financing, or in violation of trade sanctions or export controls
Harmful or exploitative content
- Upload or publish content that is defamatory, unlawfully harmful, harassing, hateful, discriminatory, or that incites violence or illegal acts
- Sexually exploit minors, distribute child sexual abuse material, or facilitate human trafficking or non-consensual intimate imagery
Intellectual property and third-party rights
- Infringe the intellectual property, privacy, publicity, or other rights of others
Technical and platform misuse
- Attempt to gain unauthorized access to our systems, other users' accounts, or data
- Use automated means (e.g. scrapers, bots) to access the Services without our prior written permission, except as allowed by public search engine indexing of public pages in line with our robots rules
- Resell or sublicense the Services in a manner that competes with Round.so unless agreed in writing
- Overload, interfere with, or circumvent limits or security features of the Services
We may investigate suspected violations, remove or disable content, suspend or terminate accounts, and cooperate with law enforcement or regulators where required or appropriate. Nothing in these Terms obliges us to monitor all user content, but we may do so to protect the Services and other users.
Your Content and Data
Your Content
You retain ownership of content you upload or create in the Services (e.g. text, images, business information). You grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and otherwise use your content as necessary to provide and improve the Services.
Lead and Contact Data
Contact form submissions and other lead data collected through your Micro-sites are stored in your account. You are responsible for using this data in compliance with applicable privacy and marketing laws (e.g. GDPR, CAN-SPAM). We process such data as your processor where required by law.
Payment Terms
Fees
Paid plans and add-ons (e.g. per-site pricing, custom domain) are described on our website and pricing page. Fees are billed in advance (e.g. monthly) and are generally non-refundable unless otherwise stated or required by law.
Billing
We bill through our payment provider (e.g. Stripe). You authorize us to charge your chosen payment method for applicable fees. You must keep billing information current. Failure to pay may result in suspension or termination of paid features.
Changes to Pricing
We may change fees with reasonable notice. Continued use of paid features after a price change constitutes acceptance. If you do not agree, you may cancel before the change takes effect.
Intellectual Property
The Services (including design, code, branding, and documentation) are owned by us or our licensors. You may not copy, modify, or create derivative works of our platform or branding except as permitted in connection with normal use of the Services (e.g. building your Micro-site). "Round.so" and our logos are our trademarks.
Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or for other reasonable cause, with notice where practicable.
Upon termination:
- Your right to use the Services ends
- We may delete or retain your data in accordance with our Privacy Policy and legal obligations
- Provisions that by their nature should survive (e.g. indemnity, limitations of liability) will remain in effect
Disclaimers
The Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
Limitation of Liability
To the maximum extent permitted by law, we (and our affiliates, directors, employees, and suppliers) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Services or these Terms. Our total liability for any claims related to the Services or these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim (or one hundred dollars if you have not paid us).
Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your content, your violation of these Terms, or your violation of any third-party rights.
Changes to Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated by email or a notice in the Services. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services.
General
- Governing law: These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles.
- Severability: If any provision is held invalid, the remaining provisions remain in effect.
- Entire agreement: These Terms (together with our Privacy Policy and any other referenced policies) constitute the entire agreement between you and us regarding the Services.
